Our attorneys provide counsel and representation on commercial transactions both within and outside of the United States. We are well versed on the legal issues that affect the commercial agreements and transactions that are vital to the operation of our clients' businesses. In addition, our attorneys have the practical knowledge of how our clients' business objectives can impact or become legal issues. In practice, our attorneys provide focused attention to service our clients as "general counsel" where in-house attorneys are not staffed or where in-house attorneys require assistance on specialized matters.

We have the expertise to assist our clients in all stages of a commercial transaction. In the preparation and negotiation of a commercial agreement, we work with our clients to anticipate potential issues so that an agreement can be drafted to protect our clients' interests and avoid disputes. Detailed discussion and preparation with our clients aids our clients in identifying and managing known and unknown risks and claims. During the negotiation process, we also maintain the awareness of our clients' relationships with their customers or suppliers and work to preserve those relationships.

For our clients in manufacturing businesses or whose businesses involve the purchase or sale of tangible or intangible goods, we are experienced in the preparation, negotiation and enforcement of manufacturing and supply agreements, terms and conditions of sale or purchase, equipment sale, lease or purchase agreements, confidentiality agreements, intellectual property licenses, representative agreements, distribution agreements and warehousing agreements.

When a commercial dispute does arise, we help our clients analyze the risk and cost of litigation and work to arrive at a cost-effective solution. We help our clients realize available alternatives to litigation, including the benefits of settlement or mediation in certain situations. Our attorneys have experience in both prosecuting and defending commercial claims including breach of contract, breach of warranty, negligent misrepresentation, fraud, tortious interference with a contract or other similar claims. Our transactional and litigation attorneys work together to counsel our clients as agreements are drafted to improve our clients' odds of success if a commercial dispute arises.
